Terms and Conditions of Use – Rankaspect

Welcome to Rankaspect. These Terms and Conditions (“Terms”) govern your use of our website and services, including SEO, PPC, and Website Design. By engaging with us, you accept and agree to comply with these Terms. If you do not agree, please refrain from using our website or services.

1. Scope of Services

Search Engine Optimization (SEO)

• SEO services include on-page optimization, off-page strategies, technical audits, keyword analysis, and performance reporting.
• SEO is a long-term investment; we do not guarantee specific rankings or traffic numbers, as these are subject to algorithm changes and competition.

Pay-Per-Click (PPC) Management

• PPC services include account setup, ad creation, keyword bidding, audience targeting, and campaign performance optimization.
• Clients are responsible for ad spend paid directly to the platform (e.g., Google Ads).
• We will not be liable for costs incurred due to rejected ads, policy violations, or platform suspensions.

Website Design & Development

• Includes design mockups, responsive layouts, content integration, and front-end/back-end development as per client brief.
• Clients must supply all content (text, images, videos, etc.) before project start. Delays in content delivery may affect timelines.
• Final deliverables are handed over upon full payment.

2. Intellectual Property

• Rankaspect retains all rights to source code, design files, and strategies developed until full payment is received.
• Upon payment completion, ownership rights (excluding proprietary tools or methods) are transferred to the client.

3. Third-Party Tools and Content

• We may use third-party tools, platforms, or content (e.g., plugins, analytics, stock images). Licensing and legal compliance of such content is the client’s responsibility unless otherwise stated.
• Rankraspect is not liable for changes in performance due to third-party service modifications or policy changes.

4. Payment Terms

• Projects commence upon receipt of agreed advance payment.
• All payments are due as per the milestones or timelines mentioned in the proposal.
• Late payments may incur interest of 1.5% per month.
• No refunds will be issued once work has begun or services have been rendered.

5. Client Responsibilities

• You agree to provide all necessary materials, feedback, and approvals in a timely manner.
• You are responsible for the accuracy and legality of all content provided.
• You acknowledge that changes to scope after the project starts may impact cost and delivery timeline.

6. Confidentiality & Data Protection

• Both parties agree to keep all shared business, financial, and personal data confidential.
• We will not share or sell your data to any third party without explicit permission.

7. Limitation of Liability

• Rankaspect will not be held liable for loss of revenue, data, or opportunities resulting from use or inability to use our services.
• We are not liable for business disruptions caused by platform outages (e.g., Google, Meta) or hosting providers.

8. Non-Solicitation

• Clients agree not to hire or solicit any Rankaspect team member, directly or indirectly, during the project and for 24 months thereafter.

9. Termination

• Either party may terminate a service contract with 14 days’ written notice.
• Upon termination, all outstanding dues must be cleared, and Rankraspect will provide any deliverables completed up to that point.

10. Jurisdiction

• These Terms are governed by the laws of India.
• Any legal disputes will be resolved exclusively in the courts of Uttar Pradesh, India.

11. Changes to Terms

• Rankaspect reserves the right to amend these Terms at any time. Updates will be posted on our website.
• Continued use of our services constitutes acceptance of any modifications.
